US contract law lets you end a contract over a material breach – a failure that defeats the purpose of the deal. Many contracts add their own termination-for-cause and notice-and-cure clauses, which control how you must proceed.

The breach must be material; for minor breaches the remedy is damages, not termination.

Frequently asked questions

When can I terminate a contract for cause?

The common-law standard is a material breach: a failure that goes to the heart of what you bargained for – not a minor slip. Courts apply this strictly, so describe the breach concretely, with dates and what it cost you. If the breach is minor, you generally must keep performing and claim damages instead.

Do I have to give the other side a chance to fix it first?

Check your contract: many US contracts contain a notice-and-cure clause that requires you to describe the problem in writing and give the other party a set number of days to fix it before you may terminate. Skipping a required cure period can make your own termination a breach – follow the clause to the letter.

Why does the letter include a fallback ordinary cancellation?

If a court or the other side later disputes that the breach was material, the fallback cancellation still ends the contract at the next regular date. Without it, a failed termination for cause could leave the contract running – and you exposed – longer than necessary.

How should I deliver the termination?

Follow the notice clause in your contract – many prescribe how notices must be delivered. Where nothing is prescribed, certified mail with return receipt is the standard way to prove delivery in the US. Keep the signed PDF, the mailing receipt and any response together.
