For a private phone sale in the US, the two critical points are the IMEI in the bill of sale and removing the activation lock before handover.

The IMEI (dial *#06#) identifies the device uniquely and belongs in the bill of sale.
The seller must remove their Apple or Google account before handover – otherwise the activation lock makes the phone unusable.
Buyers can check the IMEI against the carriers’ lost/stolen database (free CTIA Stolen Phone Checker) and should confirm the phone is not carrier-locked.

Why should the IMEI be in the bill of sale?

The IMEI identifies the device uniquely – important as proof of ownership. Before paying, the buyer can also check the IMEI against the carriers’ lost/stolen database (for example via the free CTIA Stolen Phone Checker). You find it in the settings or by dialing *#06# on the keypad.

What does “account removed and factory reset” mean?

Before handover the seller should remove the activation lock (iCloud or Google account) and reset the device to factory settings. Otherwise the buyer cannot use the phone. The checkbox in the bill of sale documents exactly that.

What if the phone breaks shortly after the purchase?

The bill of sale contains the usual as-is clause for private sales. That is why the condition and known defects (scratches, battery health) should be entered honestly in the condition field – misrepresented or knowingly concealed defects are not covered by the clause.
