In brief: the bill of sale

A bill of sale is the written record of a private sale of personal property: parties, item, price and the as-is terms. Sales of goods in the US are governed by each state’s version of UCC Article 2, and no special form is required for most items.

Private-party sales are typically as-is; the seller still may not misrepresent the item or hide known defects.
Describe the item precisely – brand, model, serial number, condition – so the document identifies exactly what was sold.
For titled property such as cars, boats or trailers, a state title transfer is required in addition to the bill of sale.
A signed bill of sale plus a receipt for the payment is the buyer’s proof of ownership and purchase price.

What is this bill of sale for?

For private sales of used personal property of any kind: electronics, furniture, bicycles, instruments, collectibles. For cars and motorcycles, use our dedicated vehicle bill of sale instead – titled vehicles also need a DMV title transfer.

Why put a private sale in writing at all?

For classifieds and marketplace sales a short document protects both sides: it records the price, the condition and the as-is terms – and saves arguments if something breaks later.

Can a private seller sell as-is?

Generally yes – between private parties an as-is sale is standard, and this template includes the clause. It does not protect a seller who misrepresents the item or knowingly conceals defects, so always list known defects in the condition field.

Is a digital signature legally valid on a bill of sale?

Yes. Electronic signatures are legally valid throughout the United States under the federal ESIGN Act; nearly every state has additionally adopted the UETA (New York has its own equivalent, the ESRA). Tamgara creates a simple electronic signature – sufficient for private second-hand sales.
